Terms of Service
Last updated: 7 October 2026 · Effective date: 7 October 2026
These Terms of Service ("Terms") govern your access to and use of the Arithma website (the "Website") and the technology services described below (the "Services") provided by Arithma ("Arithma", "we", "us", "our"). By accessing the Website or applying for the Services, you agree to these Terms. If you do not agree, do not use the Website or the Services.
Note on our legal status. "Arithma" is a trading name. The operating legal entity is in the process of formation; until registration, the Services are operated by the individual trading as Arithma. Registration details will be published here once formation is complete.
1. What Arithma is — and is not
Arithma provides technology and information services only. Specifically, we provide and deploy automated trading software (the "ArithmaPrime connector") that executes trades on a brokerage account that you open, fund, and control.
Arithma is NOT, and does not act as:
- a bank, broker, dealer, custodian, or money-services business;
- an investment adviser, portfolio manager, or fund;
- a provider of personalised investment, legal, tax, or financial advice.
Arithma does not hold, custody, receive, or control your funds. Your capital remains on your own brokerage account at all times. You may disconnect the ArithmaPrime connector at any time.
Regulatory caution. Depending on your jurisdiction, automated trading on client accounts and performance-based fees may be treated as a regulated activity. You are responsible for confirming that your use of the Services is lawful where you reside. Nothing in these Terms constitutes an offer of regulated financial services where we are not authorised to provide them.
2. Eligibility
You represent that you:
- are at least 18 years old and have legal capacity to enter into these Terms;
- are not located in, or a resident of, a Restricted Jurisdiction (see below) or any other jurisdiction where the Services are prohibited or where their use would require licensing we do not hold;
- understand the risks of leveraged and algorithmic trading (see the Risk Disclosure); and
- are using your own funds and acting on your own behalf.
Restricted Jurisdictions. The Services are not offered to persons located in, or residents of: the United States of America; the Russian Federation; the Republic of Belarus; Iran; North Korea; Cuba; Syria; Myanmar; the temporarily occupied territories of Ukraine (including the Autonomous Republic of Crimea, Sevastopol, and the occupied parts of the Donetsk, Luhansk, Zaporizhzhia and Kherson regions); or any person or jurisdiction subject to sanctions imposed by Ukraine, the United Nations, the European Union, the United Kingdom, or the United States. We may update this list at any time.
Membership is offered on an application basis and we may accept or decline any application at our discretion.
3. The broker relationship (Bybit)
The Services operate on a trading account that you open with Bybit, an independent third party. Your relationship with Bybit is governed solely by Bybit's own terms.
Disclosure of interest. Arithma is not an official partner, agent, or representative of Bybit. We may refer you to Bybit using a referral link and may receive referral compensation. This is a conflict of interest, disclosed here and in the Risk Disclosure. You are free to use the broker independently of any referral.
Any broker features — including the Bybit Pro-plan slippage-compensation feature described in the Risk Disclosure — are provided by Bybit, on Bybit's terms, and are not guaranteed, underwritten, or controlled by Arithma.
4. Description of the Services
The Services may include:
- An initial consultation to help you select a strategy profile (Conservative, Basic, or Aggressive);
- Deployment of the ArithmaPrime connector to your MT5 environment on your own account;
- Automated execution of trades by the connector across supported instruments; and
- Access to a dashboard to monitor activity.
We may modify, suspend, or discontinue any part of the Services at any time. Strategy profiles, return ranges, and instrument coverage described on the Website are illustrative and not promises of performance.
5. No guarantee of results
We do not guarantee any profit, return, or protection against loss. All figures presented on the Website — including historical or live results, monthly averages, drawdown figures, and backtested data — are historical or hypothetical, are specific to particular accounts and conditions, and are not indicative of future results. Trading involves a substantial risk of loss. See the Risk Disclosure, which forms part of these Terms.
6. Fees
- No fixed management fee.
- Performance fee: 40% of net new trading profits, charged subject to a high-water mark (so you are not charged twice for recovering the same losses).
- Trial: a trial account may be offered for USD 500 for one month under separate terms.
- Minimum investment: full membership requires a minimum of USD 100,000 in your own account.
The precise method, timing, and currency of fee calculation and collection will be set out in a separate client agreement provided before onboarding. You may cancel and disconnect at any time; fees accrued up to disconnection remain payable.
7. Your responsibilities
You agree to:
- complete any identity-verification (KYC/AML) required by the broker or by law;
- keep your account credentials secure;
- comply with all laws applicable to you, including tax reporting on any gains;
- not misuse, copy, reverse-engineer, or attempt to extract the ArithmaPrime connector or its logic; and
- not use the Services for any unlawful purpose, including money laundering or sanctions evasion.
8. Intellectual property
The Website, the ArithmaPrime connector, the Arithma name and marks, and all related software and content are owned by Arithma or its licensors and are protected by intellectual-property law. You receive a limited, revocable, non-transferable licence to use the connector solely for operating your own account during your membership. No other rights are granted.
9. Disclaimers and limitation of liability
To the maximum extent permitted by applicable law:
- The Website and Services are provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
- We do not warrant that the Services will be uninterrupted, error-free, secure, or free from delays, slippage, connectivity failures, or software defects.
- Arithma, its operators, and personnel shall not be liable for any trading losses, lost profits, or any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services or the markets.
- Where liability cannot be excluded by law, our aggregate liability is limited to the total fees you paid to Arithma in the 3 months preceding the event giving rise to the claim.
10. Indemnification
You agree to indemnify and hold harmless Arithma and its operators from any claims, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms, your trading activity, or your violation of any law or third-party right.
11. Termination
You may stop using the Services and disconnect the connector at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or if we discontinue the Services. Sections that by their nature should survive (including 5, 8, 9, 10, and 12) survive termination.
12. Governing law and disputes
These Terms are governed by the laws of Ukraine, without regard to conflict-of-law rules. Any dispute shall be subject to the exclusive jurisdiction of the competent courts of Ukraine, unless mandatory consumer-protection law grants you the right to bring proceedings elsewhere.
13. General
- Changes. We may update these Terms; the "Last updated" date reflects the current version. Continued use after changes constitutes acceptance.
- Severability. If any provision is unenforceable, the remainder stays in effect.
- Entire agreement. These Terms, the Privacy Policy, the Risk Disclosure, and any client agreement form the entire agreement between you and Arithma.
- No waiver. Our failure to enforce a provision is not a waiver.
